ProductPair Terms of Use

These Terms of Use (“Terms”) govern access to and use of ProductPair’s websites, Shopify application, merchant dashboard, storefront widgets, recommendation tools, application programming interfaces, and related products and services.

In these Terms, “ProductPair,” “we,” “our,” and “us” refer to ProductPair.ai. “Services” means the products and services described above.

By installing, accessing, or using the Services, you agree to these Terms and to our Privacy Policy.

If you use ProductPair on behalf of a business, organization, or Shopify merchant, you represent that you have authority to bind that organization to these Terms. In that case, “you” includes both you and the organization.

If you do not agree to these Terms, do not access or use the Services.

1. ProductPair’s Services

ProductPair provides an Instagram-powered and social-profile-powered product-discovery experience for Shopify stores.

Depending on the features enabled by a merchant, ProductPair may allow:

a merchant to generate, configure, and manage customer personas;

a merchant to associate products with personas or recommendation categories;

a shopper to submit a public social-media username;

ProductPair to analyze available public profile signals;

ProductPair to match those signals with merchant-defined personas;

ProductPair to generate personalized product recommendations and explanatory blurbs;

ProductPair to track interactions with recommended products;

ProductPair to attribute eligible purchases to ProductPair interactions;

merchants to view performance, attribution, and persona insights; and

ProductPair to calculate performance-based fees.

ProductPair may add, remove, modify, test, or discontinue features from time to time.

2. Separate Merchant and Shopper Relationships

ProductPair supports interactions among ProductPair, Shopify merchants, and storefront shoppers.

A. Merchant Relationship

A Shopify merchant installs and configures ProductPair for use on its store.

The merchant remains responsible for:

its Shopify store;

the products and services it sells;

product descriptions, pricing, inventory, taxes, shipping, and fulfilment;

refunds, returns, exchanges, and customer support;

the merchant’s privacy notices and consent mechanisms;

compliance with applicable consumer-protection, ecommerce, advertising, and privacy laws; and

determining whether ProductPair is appropriate for its customers and business.

ProductPair is not the seller of the merchant’s products and is not a party to transactions between merchants and shoppers.

B. Shopper Relationship

A shopper may interact with ProductPair through a participating merchant’s storefront.

A shopper’s purchase, refund, return, shipping, warranty, or product-quality issue is governed by the merchant’s policies and must generally be addressed with the merchant.

ProductPair does not control the merchant’s products, prices, inventory, checkout, delivery, refund decisions, or customer service.

3. Shopify and Third-Party Platforms

ProductPair operates in connection with Shopify and may interact with Instagram, Meta, and other social, hosting, artificial-intelligence, image-analysis, analytics, or infrastructure services.

ProductPair is an independent service. It is not sponsored, endorsed, administered by, or affiliated with Instagram or Meta.

Shopify, Instagram, and other third-party platforms have their own terms, policies, technical restrictions, and availability requirements. Your use of those platforms remains subject to their respective agreements.

ProductPair is not responsible for:

third-party platform outages or changes;

deleted, private, restricted, unavailable, or inaccurate social profiles;

changes to platform APIs or access methods;

actions taken by Shopify, Instagram, Meta, or another third party;

Shopify checkout or payment-processing failures; or

services or content provided by a third party.

4. Accounts and Merchant Access

Some Services require installation through Shopify or access through an authenticated merchant account.

You are responsible for:

maintaining the security of your account and credentials;

limiting access to authorized personnel;

promptly removing access from former employees or contractors;

providing accurate account and store information; and

notifying us promptly of suspected unauthorized access.

You must not share authentication credentials in a manner that compromises the security of the Services.

We may rely on instructions and activity originating from an authenticated account unless we know or reasonably suspect that the account has been compromised.

5. Submitted Social-Media Usernames

ProductPair may allow a user to submit a public Instagram username or another supported social-media identifier.

By submitting a username, you represent that:

the username is being submitted for a legitimate product-discovery or shopping purpose;

you will not use ProductPair to harass, stalk, surveil, shame, discriminate against, or harm another person;

you will not use ProductPair to make high-impact decisions concerning another person;

you will not submit usernames through automated or abusive means;

you will not submit information you are prohibited from using; and

your submission and use of the resulting recommendation comply with applicable law.

A shopper may submit someone else’s username when shopping for that person, but should only do so where the shopper has a legitimate reason and is authorized or reasonably entitled to use the publicly available information for that purpose.

You must not use ProductPair to create dossiers, investigate individuals, monitor individuals over time, or infer sensitive characteristics.

6. Public Profile Information

ProductPair may retrieve and analyze signals that appear publicly on supported social-media profiles.

Depending on availability, these signals may include:

username;

display name;

biography;

profile image;

emojis;

public captions;

public post images;

image labels;

account metadata; and

other visible public profile information.

ProductPair does not require a shopper to provide an Instagram password or sign in to Instagram.

ProductPair is not intended to retrieve private messages, private posts, private-account content, passwords, or information available only after accessing an individual’s private account.

Public availability does not mean that information is owned by ProductPair or can be used without restriction. Our collection and use of public profile information remain subject to our Privacy Policy, applicable law, contractual restrictions, and reasonable privacy safeguards.

7. Artificial Intelligence and Recommendation Results

ProductPair uses automated systems and artificial-intelligence technologies to generate matches, descriptions, personas, recommendations, classifications, and other outputs.

These outputs are probabilistic and may be:

incomplete;

inaccurate;

generalized;

unexpected;

based on limited public information;

based on merchant-created personas; or

affected by unavailable or outdated third-party information.

ProductPair results are provided for lightweight product discovery and entertainment. They are not verified factual statements about a person.

You must not treat ProductPair outputs as:

psychological or medical assessments;

confirmation of a person’s identity;

statements about protected or sensitive characteristics;

employment, lending, housing, insurance, legal, educational, or healthcare assessments;

evidence of wrongdoing;

professional advice; or

a substitute for your independent judgment.

Merchants must not present ProductPair recommendations as scientific, diagnostic, guaranteed, or objectively correct.

8. Merchant Content and Configuration

Merchants may provide or configure:

store names and branding;

widget labels and messages;

personas;

persona descriptions;

product assignments;

product information;

colours and fonts;

marketing language;

instructions;

business information; and

other materials or settings.

“Merchant Content” means content submitted, selected, created, or configured by or for a merchant through the Services.

The merchant retains ownership of its Merchant Content.

The merchant grants ProductPair a worldwide, non-exclusive, royalty-free licence to host, reproduce, process, adapt, format, display, transmit, and otherwise use Merchant Content as reasonably necessary to:

provide the Services;

operate the merchant’s widget;

generate personas and recommendations;

display products and storefront experiences;

provide support;

maintain, secure, and improve the Services; and

create Aggregated Insights as described in these Terms.

The merchant represents that it has all rights and permissions necessary to provide and use its Merchant Content.

9. Product and Store Information

ProductPair may access store, catalogue, product, collection, variant, inventory, order, refund, and related information through Shopify where permitted by the merchant’s installation and Shopify permissions.

The merchant authorizes ProductPair to use this information to:

operate the storefront widget;

generate and display product recommendations;

enrich recommendation results;

attribute orders;

calculate performance;

calculate fees and refund adjustments;

provide merchant reporting;

prevent fraud and duplicate processing; and

improve the Services.

ProductPair does not acquire ownership of the merchant’s products, product images, trademarks, catalogue, or underlying store information.

10. Service Data

“Service Data” means information generated through the operation and use of ProductPair, such as:

recommendation activity;

persona matches;

interactions with the widget;

profile-run information;

product recommendations;

impressions and clicks;

add-to-cart events;

attribution classifications;

conversion patterns;

performance measurements;

technical logs;

errors and latency information;

usage statistics;

billing and refund events; and

signals derived from operating the Services.

Service Data does not include a merchant’s underlying ownership rights in Merchant Content or Shopify store content.

Subject to our Privacy Policy, applicable law, Shopify requirements, and any applicable data-processing obligations, ProductPair may use Service Data to:

operate the Services;

provide reporting;

improve matching and recommendation quality;

develop and test features;

train, evaluate, or improve ProductPair systems and models;

understand product-discovery behaviour;

prevent fraud and abuse;

conduct internal research;

create Aggregated Insights; and

support ProductPair’s business operations.

ProductPair will not interpret this section as granting an unrestricted right to sell identifiable shopper profiles or merchant customer lists.

11. Aggregated and De-identified Insights

ProductPair may combine information from multiple interactions, merchants, personas, products, social signals, or transactions to create statistical, aggregated, or de-identified information that does not reasonably identify a specific individual or disclose a merchant’s confidential business information.

“Aggregated Insights” may include information such as:

broad buyer-segment patterns;

persona popularity;

product-affinity trends;

cross-category shopping behaviour;

recommendation performance benchmarks;

conversion tendencies;

audience and merchandising trends;

social-signal patterns;

industry benchmarks;

seasonal trends;

market research;

predictive models; and

other statistical or commercial insights.

To the extent permitted by applicable law, ProductPair may:

create Aggregated Insights;

use them to operate, evaluate, and improve ProductPair;

use them to develop new products, services, models, reports, and features;

publish high-level research or benchmarks;

provide insights to merchants;

license or commercialize reports, datasets, tools, or products based on Aggregated Insights; and

use Aggregated Insights for other lawful business purposes.

ProductPair will apply reasonable measures designed to prevent Aggregated Insights from identifying a specific person.

ProductPair will not intentionally attempt to re-identify information that has been anonymized for commercial insight purposes, except where reasonably necessary for security testing, validation of de-identification methods, legal compliance, or protection against fraud or misuse.

Aggregated or de-identified information will be treated as personal information where required by applicable law or where there remains a reasonable possibility that it could identify an individual.

Nothing in this section permits ProductPair to disregard its Privacy Policy, applicable privacy laws, Shopify requirements, user rights, or legally required consent or opt-out choices.

12. Confidential Merchant Information

ProductPair may receive non-public information about a merchant’s business, products, performance, customers, strategies, or operations.

ProductPair will use reasonable measures to protect merchant confidential information and will not disclose it except:

to provide the Services;

to service providers subject to appropriate obligations;

with the merchant’s authorization;

in aggregated or de-identified form;

where the information becomes public through no fault of ProductPair;

where independently developed without using the merchant’s confidential information; or

where disclosure is legally required.

Aggregated Insights must not reveal an identifiable merchant’s confidential performance information unless the merchant has consented or the information is otherwise lawfully public.

13. Fees and Shopify Billing

ProductPair may charge merchants according to the pricing displayed through the Shopify App Store, Shopify’s pricing interface, the ProductPair website, or another authorized ProductPair pricing surface.

The current ProductPair model may include a performance-based fee calculated as a percentage of eligible ProductPair-attributed revenue.

Unless otherwise stated in the applicable pricing terms:

ProductPair attribution is determined using ProductPair’s attribution systems and rules;

fees may be based on ProductPair-attributed product revenue;

Shopify may calculate and collect the resulting merchant charge;

refunds may result in proportional negative adjustments;

shipping-only, tax-only, or unrelated manual refunds may not reduce attributed product revenue;

adjustments will not normally exceed the revenue previously attributed to ProductPair; and

ProductPair may use direct and assisted attribution classifications in merchant reporting.

The specific rate, billing basis, usage cap, currency treatment, and other commercial terms displayed and accepted through Shopify form part of these Terms.

Merchants are responsible for reviewing the applicable pricing before installing or approving ProductPair.

Shopify’s billing records may control the amount actually charged through Shopify. ProductPair’s dashboard may display estimates, conversions, attribution classifications, and internal commission calculations for informational purposes.

ProductPair may correct errors, duplicate events, failed events, refund adjustments, or other billing discrepancies.

14. Attribution

ProductPair may use session identifiers, recommendation-run identifiers, cart context, product events, order information, and defined attribution windows to determine whether an order or order line is attributable to ProductPair.

The merchant acknowledges that:

attribution systems are not perfect;

browser restrictions, consent settings, deleted storage, device changes, checkout behaviour, platform limitations, and technical failures may affect attribution;

ProductPair may classify attribution as direct, assisted, or another disclosed category;

ProductPair may use reasonable automated rules to prevent duplicate attribution;

orders and refund events may be processed more than once by a third-party platform, with ProductPair applying safeguards intended to prevent duplicate billing; and

dashboard information may be updated or corrected after later order, refund, or reconciliation information becomes available.

Merchants may contact ProductPair regarding a reasonably disputed attribution or fee. ProductPair may request supporting order information and will review disputes in good faith.

15. Refund Adjustments

ProductPair’s intended commercial principle is that performance fees apply to net retained ProductPair-attributed product revenue.

Where supported by the Services:

a full eligible product refund may result in a full attribution reversal;

a partial eligible product refund may result in a proportional reversal;

shipping-only and tax-only refunds generally do not result in a ProductPair reversal;

duplicate refund events will not intentionally create duplicate reversals;

non-attributed purchases will not intentionally create ProductPair refund adjustments; and

total reversals will not intentionally exceed the ProductPair-attributed revenue previously recorded.

The merchant remains responsible for issuing the underlying shopper refund through Shopify or its payment provider.

16. Acceptable Use

You must not use the Services to:

violate any law, regulation, court order, or third-party right;

infringe intellectual-property, privacy, publicity, contractual, or confidentiality rights;

harass, stalk, intimidate, exploit, or harm another person;

profile individuals for employment, housing, lending, insurance, healthcare, education, policing, or other high-impact decisions;

infer or target sensitive characteristics;

create individual dossiers or surveillance databases;

scrape or extract ProductPair data through unauthorized automated means;

reverse engineer, decompile, disassemble, or attempt to discover non-public source code, except where applicable law expressly permits it;

bypass rate limits, authentication, billing, access controls, or technical restrictions;

interfere with the security or operation of the Services;

introduce malware or harmful code;

conduct penetration testing without written authorization;

copy, resell, sublicense, or commercially exploit the Services except as expressly authorized;

impersonate another person or misrepresent an affiliation;

submit fraudulent orders, interactions, social profiles, or attribution events;

manipulate recommendations, attribution, billing, refunds, or performance metrics;

use the Services to develop or train a directly competing product through systematic extraction of ProductPair outputs;

send excessive or automated requests;

access ProductPair using credentials you are not authorized to use; or

encourage another person to do any of the above.

We may investigate suspected misuse and may suspend or terminate access where reasonably necessary.

17. Intellectual Property

ProductPair and its licensors retain all rights, title, and interest in and to the Services, including:

software;

source code;

interfaces;

designs;

trademarks;

branding;

documentation;

algorithms;

matching systems;

attribution systems;

prompts and workflows;

models;

databases;

reports;

generated structures;

improvements; and

related intellectual property.

Except for the limited rights expressly granted by these Terms, no rights are transferred to you.

“ProductPair,” “ProductPair.ai,” ProductPair branding, logos, designs, and related marks may not be used without our written permission.

18. Limited Licence

Subject to compliance with these Terms, ProductPair grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for their intended business or shopping purposes.

This licence ends when:

you stop using the applicable shopper experience;

the merchant uninstalls ProductPair;

your account is terminated;

the Services are discontinued; or

these Terms otherwise end.

19. Feedback

You may provide ideas, suggestions, comments, or feedback about ProductPair.

You grant ProductPair a worldwide, perpetual, irrevocable, royalty-free right to use, modify, incorporate, commercialize, and otherwise exploit that feedback without restriction or compensation.

This does not give ProductPair ownership of Merchant Content or personal information contained incidentally in feedback.

20. Privacy

Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy.

The Privacy Policy forms part of these Terms.

Where these Terms and the Privacy Policy address different subjects, both apply. Where they directly conflict regarding the handling of personal information, the Privacy Policy will govern unless applicable law requires otherwise.

Merchants are responsible for maintaining their own legally adequate privacy policies and obtaining consent where required.

21. Availability and Changes

We aim to keep ProductPair available and reliable, but we do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

ProductPair may:

perform maintenance;

change service providers;

update recommendation systems;

alter data sources;

change or remove features;

impose reasonable usage limits;

suspend features affected by third-party platforms;

modify integrations; or

discontinue some or all of the Services.

Where reasonably practicable, we may provide notice of material changes affecting merchant use.

22. Beta and Experimental Features

Some ProductPair features may be labelled beta, pilot, preview, experimental, early access, or similar.

These features may:

be incomplete;

change without notice;

have limited support;

produce unreliable results;

be discontinued; or

be subject to additional terms.

You use experimental features at your own risk.

23. Suspension and Termination

You may stop using ProductPair at any time. Merchants may uninstall the app through Shopify, subject to any outstanding Shopify charges or obligations.

We may suspend, limit, or terminate access where:

you breach these Terms;

your use creates a security, legal, privacy, platform, or operational risk;

required by Shopify or another applicable platform;

fees remain unpaid;

we reasonably suspect fraud or abuse;

your use may harm another person;

continuing to provide the Services would violate law; or

the Services are discontinued.

Where reasonable, we may provide notice and an opportunity to correct a breach.

Termination does not affect:

rights or obligations accrued before termination;

outstanding fees and refund adjustments;

record-retention obligations;

rights relating to Aggregated Insights;

provisions intended by their nature to survive; or

lawful processing described in our Privacy Policy.

24. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided “as is” and “as available.”

ProductPair disclaims all warranties and conditions, whether express, implied, statutory, or collateral, including implied warranties or conditions of:

merchantability;

fitness for a particular purpose;

title;

non-infringement;

accuracy;

availability;

security; and

satisfactory quality.

We do not warrant that:

recommendations will be accurate;

products will suit a particular person;

a recommendation will produce a purchase;

ProductPair will increase conversion or revenue;

attribution will capture every eligible purchase;

every social profile will be accessible;

the Services will be uninterrupted or error-free;

data will never be lost; or

defects will always be corrected.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent legally permitted.

25. Limitation of Liability

To the fullest extent permitted by applicable law, ProductPair and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of:

profit;

revenue;

goodwill;

business opportunity;

anticipated savings;

customers;

data; or

reputation.

ProductPair will not be liable for damages arising from:

merchant products or services;

shopper purchases;

inaccurate recommendations;

third-party platforms;

unauthorised account access caused by you;

interrupted or unavailable Services;

lost or misattributed transactions;

merchant privacy or legal violations;

reliance on AI-generated output; or

content submitted by merchants or users.

To the fullest extent permitted by applicable law, ProductPair’s total aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of:

the total fees paid or payable by the applicable merchant to ProductPair during the six months immediately preceding the event giving rise to the claim; or

one hundred Canadian dollars.

The limitations in this section do not apply to liability that cannot legally be excluded or limited.

26. Indemnification

To the fullest extent permitted by applicable law, a merchant agrees to defend, indemnify, and hold harmless ProductPair and its directors, officers, employees, contractors, affiliates, and service providers from claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable legal fees arising from or relating to:

the merchant’s store, products, or services;

Merchant Content;

the merchant’s privacy notices or consent practices;

the merchant’s violation of law;

the merchant’s breach of these Terms;

the merchant’s infringement of a third-party right;

claims between the merchant and its shoppers; or

misuse of ProductPair by the merchant or its personnel.

ProductPair will provide reasonable notice of an indemnified claim and may participate in its defence.

This section does not require indemnification for losses caused solely by ProductPair’s intentional misconduct where such exclusion is prohibited by law.

27. Consumer Rights

Nothing in these Terms excludes, restricts, or modifies a right or remedy that cannot legally be excluded, restricted, or modified.

Where a shopper is protected by mandatory consumer-protection law, those protections continue to apply.

The merchant remains responsible for consumer agreements concerning the merchant’s products and services.

28. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

Subject to any mandatory consumer rights or jurisdictional requirements, the courts located in Toronto, Ontario will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.

Before starting formal proceedings, the parties agree to attempt in good faith to resolve a dispute by contacting the other party and describing the issue.

29. Electronic Communications

You agree that communications, agreements, notices, disclosures, and records may be provided electronically, including through:

the ProductPair merchant application;

Shopify;

email;

the ProductPair website; or

another electronic method associated with your account.

You are responsible for keeping your merchant contact information current.

30. Changes to These Terms

We may update these Terms to reflect changes to:

the Services;

pricing;

legal requirements;

third-party platforms;

data practices;

security needs; or

our business.

The Effective Date identifies the most recent revision.

Where required by law or where a change materially affects merchant rights or obligations, we may provide additional notice through the Services, Shopify, email, or another reasonable method.

Continued use of the Services after updated Terms take effect constitutes acceptance of the updated Terms, except where applicable law requires express consent.

31. Assignment

You may not assign or transfer these Terms without ProductPair’s prior written consent.

ProductPair may assign these Terms in connection with:

a corporate reorganization;

financing;

merger;

acquisition;

sale of assets; or

transfer of the ProductPair business.

32. General Terms

These Terms, the Privacy Policy, applicable Shopify pricing approvals, and any additional written terms expressly agreed between ProductPair and a merchant form the entire agreement concerning the Services.

If a provision is held unenforceable, it will be modified to the minimum extent necessary or removed, and the remaining provisions will continue in effect.

Failure to enforce a provision is not a waiver.

Headings are included for convenience and do not affect interpretation.

Words such as “including” mean “including without limitation.”

No person other than the parties has a right to enforce these Terms unless applicable law expressly provides otherwise.

A shopper’s purchase, refund, return, shipping, warranty, or product-quality issue is governed by the merchant’s policies and must generally be addressed with the merchant.

ProductPair does not control the merchant’s products, prices, inventory, checkout, delivery, refund decisions, or customer service.

3. Shopify and Third-Party Platforms

ProductPair operates in connection with Shopify and may interact with Instagram, Meta, and other social, hosting, artificial-intelligence, image-analysis, analytics, or infrastructure services.

ProductPair is an independent service. It is not sponsored, endorsed, administered by, or affiliated with Instagram or Meta.

Shopify, Instagram, and other third-party platforms have their own terms, policies, technical restrictions, and availability requirements. Your use of those platforms remains subject to their respective agreements.

ProductPair is not responsible for:

third-party platform outages or changes;

deleted, private, restricted, unavailable, or inaccurate social profiles;

changes to platform APIs or access methods;

actions taken by Shopify, Instagram, Meta, or another third party;

Shopify checkout or payment-processing failures; or

services or content provided by a third party.

4. Accounts and Merchant Access

Some Services require installation through Shopify or access through an authenticated merchant account.

You are responsible for:

maintaining the security of your account and credentials;

limiting access to authorized personnel;

promptly removing access from former employees or contractors;

providing accurate account and store information; and

notifying us promptly of suspected unauthorized access.

You must not share authentication credentials in a manner that compromises the security of the Services.

We may rely on instructions and activity originating from an authenticated account unless we know or reasonably suspect that the account has been compromised.

5. Submitted Social-Media Usernames

ProductPair may allow a user to submit a public Instagram username or another supported social-media identifier.

By submitting a username, you represent that:

the username is being submitted for a legitimate product-discovery or shopping purpose;

you will not use ProductPair to harass, stalk, surveil, shame, discriminate against, or harm another person;

you will not use ProductPair to make high-impact decisions concerning another person;

you will not submit usernames through automated or abusive means;

you will not submit information you are prohibited from using; and

your submission and use of the resulting recommendation comply with applicable law.

A shopper may submit someone else’s username when shopping for that person, but should only do so where the shopper has a legitimate reason and is authorized or reasonably entitled to use the publicly available information for that purpose.

You must not use ProductPair to create dossiers, investigate individuals, monitor individuals over time, or infer sensitive characteristics.

6. Public Profile Information

ProductPair may retrieve and analyze signals that appear publicly on supported social-media profiles.

Depending on availability, these signals may include:

username;

display name;

biography;

profile image;

emojis;

public captions;

public post images;

image labels;

account metadata; and

other visible public profile information.

ProductPair does not require a shopper to provide an Instagram password or sign in to Instagram.

ProductPair is not intended to retrieve private messages, private posts, private-account content, passwords, or information available only after accessing an individual’s private account.

Public availability does not mean that information is owned by ProductPair or can be used without restriction. Our collection and use of public profile information remain subject to our Privacy Policy, applicable law, contractual restrictions, and reasonable privacy safeguards.

7. Artificial Intelligence and Recommendation Results

ProductPair uses automated systems and artificial-intelligence technologies to generate matches, descriptions, personas, recommendations, classifications, and other outputs.

These outputs are probabilistic and may be:

incomplete;

inaccurate;

generalized;

unexpected;

based on limited public information;

based on merchant-created personas; or

affected by unavailable or outdated third-party information.

ProductPair results are provided for lightweight product discovery and entertainment. They are not verified factual statements about a person.

You must not treat ProductPair outputs as:

psychological or medical assessments;

confirmation of a person’s identity;

statements about protected or sensitive characteristics;

employment, lending, housing, insurance, legal, educational, or healthcare assessments;

evidence of wrongdoing;

professional advice; or

a substitute for your independent judgment.

Merchants must not present ProductPair recommendations as scientific, diagnostic, guaranteed, or objectively correct.

8. Merchant Content and Configuration

Merchants may provide or configure:

store names and branding;

widget labels and messages;

personas;

persona descriptions;

product assignments;

product information;

colours and fonts;

marketing language;

instructions;

business information; and

other materials or settings.

“Merchant Content” means content submitted, selected, created, or configured by or for a merchant through the Services.

The merchant retains ownership of its Merchant Content.

The merchant grants ProductPair a worldwide, non-exclusive, royalty-free licence to host, reproduce, process, adapt, format, display, transmit, and otherwise use Merchant Content as reasonably necessary to:

provide the Services;

operate the merchant’s widget;

generate personas and recommendations;

display products and storefront experiences;

provide support;

maintain, secure, and improve the Services; and

create Aggregated Insights as described in these Terms.

The merchant represents that it has all rights and permissions necessary to provide and use its Merchant Content.

9. Product and Store Information

ProductPair may access store, catalogue, product, collection, variant, inventory, order, refund, and related information through Shopify where permitted by the merchant’s installation and Shopify permissions.

The merchant authorizes ProductPair to use this information to:

operate the storefront widget;

generate and display product recommendations;

enrich recommendation results;

attribute orders;

calculate performance;

calculate fees and refund adjustments;

provide merchant reporting;

prevent fraud and duplicate processing; and

improve the Services.

ProductPair does not acquire ownership of the merchant’s products, product images, trademarks, catalogue, or underlying store information.

10. Service Data

“Service Data” means information generated through the operation and use of ProductPair, such as:

recommendation activity;

persona matches;

interactions with the widget;

profile-run information;

product recommendations;

impressions and clicks;

add-to-cart events;

attribution classifications;

conversion patterns;

performance measurements;

technical logs;

errors and latency information;

usage statistics;

billing and refund events; and

signals derived from operating the Services.

Service Data does not include a merchant’s underlying ownership rights in Merchant Content or Shopify store content.

Subject to our Privacy Policy, applicable law, Shopify requirements, and any applicable data-processing obligations, ProductPair may use Service Data to:

operate the Services;

provide reporting;

improve matching and recommendation quality;

develop and test features;

train, evaluate, or improve ProductPair systems and models;

understand product-discovery behaviour;

prevent fraud and abuse;

conduct internal research;

create Aggregated Insights; and

support ProductPair’s business operations.

ProductPair will not interpret this section as granting an unrestricted right to sell identifiable shopper profiles or merchant customer lists.

11. Aggregated and De-identified Insights

ProductPair may combine information from multiple interactions, merchants, personas, products, social signals, or transactions to create statistical, aggregated, or de-identified information that does not reasonably identify a specific individual or disclose a merchant’s confidential business information.

“Aggregated Insights” may include information such as:

broad buyer-segment patterns;

persona popularity;

product-affinity trends;

cross-category shopping behaviour;

recommendation performance benchmarks;

conversion tendencies;

audience and merchandising trends;

social-signal patterns;

industry benchmarks;

seasonal trends;

market research;

predictive models; and

other statistical or commercial insights.

To the extent permitted by applicable law, ProductPair may:

create Aggregated Insights;

use them to operate, evaluate, and improve ProductPair;

use them to develop new products, services, models, reports, and features;

publish high-level research or benchmarks;

provide insights to merchants;

license or commercialize reports, datasets, tools, or products based on Aggregated Insights; and

use Aggregated Insights for other lawful business purposes.

ProductPair will apply reasonable measures designed to prevent Aggregated Insights from identifying a specific person.

ProductPair will not intentionally attempt to re-identify information that has been anonymized for commercial insight purposes, except where reasonably necessary for security testing, validation of de-identification methods, legal compliance, or protection against fraud or misuse.

Aggregated or de-identified information will be treated as personal information where required by applicable law or where there remains a reasonable possibility that it could identify an individual.

Nothing in this section permits ProductPair to disregard its Privacy Policy, applicable privacy laws, Shopify requirements, user rights, or legally required consent or opt-out choices.

12. Confidential Merchant Information

ProductPair may receive non-public information about a merchant’s business, products, performance, customers, strategies, or operations.

ProductPair will use reasonable measures to protect merchant confidential information and will not disclose it except:

to provide the Services;

to service providers subject to appropriate obligations;

with the merchant’s authorization;

in aggregated or de-identified form;

where the information becomes public through no fault of ProductPair;

where independently developed without using the merchant’s confidential information; or

where disclosure is legally required.

Aggregated Insights must not reveal an identifiable merchant’s confidential performance information unless the merchant has consented or the information is otherwise lawfully public.

13. Fees and Shopify Billing

ProductPair may charge merchants according to the pricing displayed through the Shopify App Store, Shopify’s pricing interface, the ProductPair website, or another authorized ProductPair pricing surface.

The current ProductPair model may include a performance-based fee calculated as a percentage of eligible ProductPair-attributed revenue.

Unless otherwise stated in the applicable pricing terms:

ProductPair attribution is determined using ProductPair’s attribution systems and rules;

fees may be based on ProductPair-attributed product revenue;

Shopify may calculate and collect the resulting merchant charge;

refunds may result in proportional negative adjustments;

shipping-only, tax-only, or unrelated manual refunds may not reduce attributed product revenue;

adjustments will not normally exceed the revenue previously attributed to ProductPair; and

ProductPair may use direct and assisted attribution classifications in merchant reporting.

The specific rate, billing basis, usage cap, currency treatment, and other commercial terms displayed and accepted through Shopify form part of these Terms.

Merchants are responsible for reviewing the applicable pricing before installing or approving ProductPair.

Shopify’s billing records may control the amount actually charged through Shopify. ProductPair’s dashboard may display estimates, conversions, attribution classifications, and internal commission calculations for informational purposes.

ProductPair may correct errors, duplicate events, failed events, refund adjustments, or other billing discrepancies.

14. Attribution

ProductPair may use session identifiers, recommendation-run identifiers, cart context, product events, order information, and defined attribution windows to determine whether an order or order line is attributable to ProductPair.

The merchant acknowledges that:

attribution systems are not perfect;

browser restrictions, consent settings, deleted storage, device changes, checkout behaviour, platform limitations, and technical failures may affect attribution;

ProductPair may classify attribution as direct, assisted, or another disclosed category;

ProductPair may use reasonable automated rules to prevent duplicate attribution;

orders and refund events may be processed more than once by a third-party platform, with ProductPair applying safeguards intended to prevent duplicate billing; and

dashboard information may be updated or corrected after later order, refund, or reconciliation information becomes available.

Merchants may contact ProductPair regarding a reasonably disputed attribution or fee. ProductPair may request supporting order information and will review disputes in good faith.

15. Refund Adjustments

ProductPair’s intended commercial principle is that performance fees apply to net retained ProductPair-attributed product revenue.

Where supported by the Services:

a full eligible product refund may result in a full attribution reversal;

a partial eligible product refund may result in a proportional reversal;

shipping-only and tax-only refunds generally do not result in a ProductPair reversal;

duplicate refund events will not intentionally create duplicate reversals;

non-attributed purchases will not intentionally create ProductPair refund adjustments; and

total reversals will not intentionally exceed the ProductPair-attributed revenue previously recorded.

The merchant remains responsible for issuing the underlying shopper refund through Shopify or its payment provider.

16. Acceptable Use

You must not use the Services to:

violate any law, regulation, court order, or third-party right;

infringe intellectual-property, privacy, publicity, contractual, or confidentiality rights;

harass, stalk, intimidate, exploit, or harm another person;

profile individuals for employment, housing, lending, insurance, healthcare, education, policing, or other high-impact decisions;

infer or target sensitive characteristics;

create individual dossiers or surveillance databases;

scrape or extract ProductPair data through unauthorized automated means;

reverse engineer, decompile, disassemble, or attempt to discover non-public source code, except where applicable law expressly permits it;

bypass rate limits, authentication, billing, access controls, or technical restrictions;

interfere with the security or operation of the Services;

introduce malware or harmful code;

conduct penetration testing without written authorization;

copy, resell, sublicense, or commercially exploit the Services except as expressly authorized;

impersonate another person or misrepresent an affiliation;

submit fraudulent orders, interactions, social profiles, or attribution events;

manipulate recommendations, attribution, billing, refunds, or performance metrics;

use the Services to develop or train a directly competing product through systematic extraction of ProductPair outputs;

send excessive or automated requests;

access ProductPair using credentials you are not authorized to use; or

encourage another person to do any of the above.

We may investigate suspected misuse and may suspend or terminate access where reasonably necessary.

17. Intellectual Property

ProductPair and its licensors retain all rights, title, and interest in and to the Services, including:

software;

source code;

interfaces;

designs;

trademarks;

branding;

documentation;

algorithms;

matching systems;

attribution systems;

prompts and workflows;

models;

databases;

reports;

generated structures;

improvements; and

related intellectual property.

Except for the limited rights expressly granted by these Terms, no rights are transferred to you.

“ProductPair,” “ProductPair.ai,” ProductPair branding, logos, designs, and related marks may not be used without our written permission.

18. Limited Licence

Subject to compliance with these Terms, ProductPair grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for their intended business or shopping purposes.

This licence ends when:

you stop using the applicable shopper experience;

the merchant uninstalls ProductPair;

your account is terminated;

the Services are discontinued; or

these Terms otherwise end.

19. Feedback

You may provide ideas, suggestions, comments, or feedback about ProductPair.

You grant ProductPair a worldwide, perpetual, irrevocable, royalty-free right to use, modify, incorporate, commercialize, and otherwise exploit that feedback without restriction or compensation.

This does not give ProductPair ownership of Merchant Content or personal information contained incidentally in feedback.

20. Privacy

Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy.

The Privacy Policy forms part of these Terms.

Where these Terms and the Privacy Policy address different subjects, both apply. Where they directly conflict regarding the handling of personal information, the Privacy Policy will govern unless applicable law requires otherwise.

Merchants are responsible for maintaining their own legally adequate privacy policies and obtaining consent where required.

21. Availability and Changes

We aim to keep ProductPair available and reliable, but we do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

ProductPair may:

perform maintenance;

change service providers;

update recommendation systems;

alter data sources;

change or remove features;

impose reasonable usage limits;

suspend features affected by third-party platforms;

modify integrations; or

discontinue some or all of the Services.

Where reasonably practicable, we may provide notice of material changes affecting merchant use.

22. Beta and Experimental Features

Some ProductPair features may be labelled beta, pilot, preview, experimental, early access, or similar.

These features may:

be incomplete;

change without notice;

have limited support;

produce unreliable results;

be discontinued; or

be subject to additional terms.

You use experimental features at your own risk.

23. Suspension and Termination

You may stop using ProductPair at any time. Merchants may uninstall the app through Shopify, subject to any outstanding Shopify charges or obligations.

We may suspend, limit, or terminate access where:

you breach these Terms;

your use creates a security, legal, privacy, platform, or operational risk;

required by Shopify or another applicable platform;

fees remain unpaid;

we reasonably suspect fraud or abuse;

your use may harm another person;

continuing to provide the Services would violate law; or

the Services are discontinued.

Where reasonable, we may provide notice and an opportunity to correct a breach.

Termination does not affect:

rights or obligations accrued before termination;

outstanding fees and refund adjustments;

record-retention obligations;

rights relating to Aggregated Insights;

provisions intended by their nature to survive; or

lawful processing described in our Privacy Policy.

24. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided “as is” and “as available.”

ProductPair disclaims all warranties and conditions, whether express, implied, statutory, or collateral, including implied warranties or conditions of:

merchantability;

fitness for a particular purpose;

title;

non-infringement;

accuracy;

availability;

security; and

satisfactory quality.

We do not warrant that:

recommendations will be accurate;

products will suit a particular person;

a recommendation will produce a purchase;

ProductPair will increase conversion or revenue;

attribution will capture every eligible purchase;

every social profile will be accessible;

the Services will be uninterrupted or error-free;

data will never be lost; or

defects will always be corrected.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent legally permitted.

25. Limitation of Liability

To the fullest extent permitted by applicable law, ProductPair and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of:

profit;

revenue;

goodwill;

business opportunity;

anticipated savings;

customers;

data; or

reputation.

ProductPair will not be liable for damages arising from:

merchant products or services;

shopper purchases;

inaccurate recommendations;

third-party platforms;

unauthorised account access caused by you;

interrupted or unavailable Services;

lost or misattributed transactions;

merchant privacy or legal violations;

reliance on AI-generated output; or

content submitted by merchants or users.

To the fullest extent permitted by applicable law, ProductPair’s total aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of:

the total fees paid or payable by the applicable merchant to ProductPair during the six months immediately preceding the event giving rise to the claim; or

one hundred Canadian dollars.

The limitations in this section do not apply to liability that cannot legally be excluded or limited.

26. Indemnification

To the fullest extent permitted by applicable law, a merchant agrees to defend, indemnify, and hold harmless ProductPair and its directors, officers, employees, contractors, affiliates, and service providers from claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable legal fees arising from or relating to:

the merchant’s store, products, or services;

Merchant Content;

the merchant’s privacy notices or consent practices;

the merchant’s violation of law;

the merchant’s breach of these Terms;

the merchant’s infringement of a third-party right;

claims between the merchant and its shoppers; or

misuse of ProductPair by the merchant or its personnel.

ProductPair will provide reasonable notice of an indemnified claim and may participate in its defence.

This section does not require indemnification for losses caused solely by ProductPair’s intentional misconduct where such exclusion is prohibited by law.

27. Consumer Rights

Nothing in these Terms excludes, restricts, or modifies a right or remedy that cannot legally be excluded, restricted, or modified.

Where a shopper is protected by mandatory consumer-protection law, those protections continue to apply.

The merchant remains responsible for consumer agreements concerning the merchant’s products and services.

28. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

Subject to any mandatory consumer rights or jurisdictional requirements, the courts located in Toronto, Ontario will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.

Before starting formal proceedings, the parties agree to attempt in good faith to resolve a dispute by contacting the other party and describing the issue.

29. Electronic Communications

You agree that communications, agreements, notices, disclosures, and records may be provided electronically, including through:

the ProductPair merchant application;

Shopify;

email;

the ProductPair website; or

another electronic method associated with your account.

You are responsible for keeping your merchant contact information current.

30. Changes to These Terms

We may update these Terms to reflect changes to:

the Services;

pricing;

legal requirements;

third-party platforms;

data practices;

security needs; or

our business.

The Effective Date identifies the most recent revision.

Where required by law or where a change materially affects merchant rights or obligations, we may provide additional notice through the Services, Shopify, email, or another reasonable method.

Continued use of the Services after updated Terms take effect constitutes acceptance of the updated Terms, except where applicable law requires express consent.

31. Assignment

You may not assign or transfer these Terms without ProductPair’s prior written consent.

ProductPair may assign these Terms in connection with:

a corporate reorganization;

financing;

merger;

acquisition;

sale of assets; or

transfer of the ProductPair business.

32. General Terms

These Terms, the Privacy Policy, applicable Shopify pricing approvals, and any additional written terms expressly agreed between ProductPair and a merchant form the entire agreement concerning the Services.

If a provision is held unenforceable, it will be modified to the minimum extent necessary or removed, and the remaining provisions will continue in effect.

Failure to enforce a provision is not a waiver.

Headings are included for convenience and do not affect interpretation.

Words such as “including” mean “including without limitation.”

No person other than the parties has a right to enforce these Terms unless applicable law expressly provides otherwise.

These Terms of Use (“Terms”) govern access to and use of ProductPair’s websites, Shopify application, merchant dashboard, storefront widgets, recommendation tools, application programming interfaces, and related products and services.

In these Terms, “ProductPair,” “we,” “our,” and “us” refer to ProductPair.ai. “Services” means the products and services described above.

By installing, accessing, or using the Services, you agree to these Terms and to our Privacy Policy.

If you use ProductPair on behalf of a business, organization, or Shopify merchant, you represent that you have authority to bind that organization to these Terms. In that case, “you” includes both you and the organization.

If you do not agree to these Terms, do not access or use the Services.

1. ProductPair’s Services

ProductPair provides an Instagram-powered and social-profile-powered product-discovery experience for Shopify stores.

Depending on the features enabled by a merchant, ProductPair may allow:

a merchant to generate, configure, and manage customer personas;

a merchant to associate products with personas or recommendation categories;

a shopper to submit a public social-media username;

ProductPair to analyze available public profile signals;

ProductPair to match those signals with merchant-defined personas;

ProductPair to generate personalized product recommendations and explanatory blurbs;

ProductPair to track interactions with recommended products;

ProductPair to attribute eligible purchases to ProductPair interactions;

merchants to view performance, attribution, and persona insights; and

ProductPair to calculate performance-based fees.

ProductPair may add, remove, modify, test, or discontinue features from time to time.

2. Separate Merchant and Shopper Relationships

ProductPair supports interactions among ProductPair, Shopify merchants, and storefront shoppers.

A. Merchant Relationship

A Shopify merchant installs and configures ProductPair for use on its store.

The merchant remains responsible for:

its Shopify store;

the products and services it sells;

product descriptions, pricing, inventory, taxes, shipping, and fulfilment;

refunds, returns, exchanges, and customer support;

the merchant’s privacy notices and consent mechanisms;

compliance with applicable consumer-protection, ecommerce, advertising, and privacy laws; and

determining whether ProductPair is appropriate for its customers and business.

ProductPair is not the seller of the merchant’s products and is not a party to transactions between merchants and shoppers.

B. Shopper Relationship

A shopper may interact with ProductPair through a participating merchant’s storefront.

ProductPair is not intended to retrieve private messages, private posts, private-account content, passwords, or information available only after accessing an individual’s private account.

Public availability does not mean that information is owned by ProductPair or can be used without restriction. Our collection and use of public profile information remain subject to our Privacy Policy, applicable law, contractual restrictions, and reasonable privacy safeguards.

7. Artificial Intelligence and Recommendation Results

ProductPair uses automated systems and artificial-intelligence technologies to generate matches, descriptions, personas, recommendations, classifications, and other outputs.

These outputs are probabilistic and may be:

incomplete;

inaccurate;

generalized;

unexpected;

based on limited public information;

based on merchant-created personas; or

affected by unavailable or outdated third-party information.

ProductPair results are provided for lightweight product discovery and entertainment. They are not verified factual statements about a person.

You must not treat ProductPair outputs as:

psychological or medical assessments;

confirmation of a person’s identity;

statements about protected or sensitive characteristics;

employment, lending, housing, insurance, legal, educational, or healthcare assessments;

evidence of wrongdoing;

professional advice; or

a substitute for your independent judgment.

Merchants must not present ProductPair recommendations as scientific, diagnostic, guaranteed, or objectively correct.

8. Merchant Content and Configuration

Merchants may provide or configure:

store names and branding;

widget labels and messages;

personas;

persona descriptions;

product assignments;

product information;

colours and fonts;

marketing language;

instructions;

business information; and

other materials or settings.

“Merchant Content” means content submitted, selected, created, or configured by or for a merchant through the Services.

The merchant retains ownership of its Merchant Content.

The merchant grants ProductPair a worldwide, non-exclusive, royalty-free licence to host, reproduce, process, adapt, format, display, transmit, and otherwise use Merchant Content as reasonably necessary to:

provide the Services;

operate the merchant’s widget;

generate personas and recommendations;

display products and storefront experiences;

provide support;

maintain, secure, and improve the Services; and

create Aggregated Insights as described in these Terms.

The merchant represents that it has all rights and permissions necessary to provide and use its Merchant Content.

9. Product and Store Information

ProductPair may access store, catalogue, product, collection, variant, inventory, order, refund, and related information through Shopify where permitted by the merchant’s installation and Shopify permissions.

The merchant authorizes ProductPair to use this information to:

operate the storefront widget;

generate and display product recommendations;

enrich recommendation results;

attribute orders;

calculate performance;

calculate fees and refund adjustments;

provide merchant reporting;

prevent fraud and duplicate processing; and

improve the Services.

ProductPair does not acquire ownership of the merchant’s products, product images, trademarks, catalogue, or underlying store information.

10. Service Data

“Service Data” means information generated through the operation and use of ProductPair, such as:

recommendation activity;

persona matches;

interactions with the widget;

profile-run information;

product recommendations;

impressions and clicks;

add-to-cart events;

attribution classifications;

conversion patterns;

performance measurements;

technical logs;

errors and latency information;

usage statistics;

billing and refund events; and

signals derived from operating the Services.

Service Data does not include a merchant’s underlying ownership rights in Merchant Content or Shopify store content.

Subject to our Privacy Policy, applicable law, Shopify requirements, and any applicable data-processing obligations, ProductPair may use Service Data to:

operate the Services;

provide reporting;

improve matching and recommendation quality;

develop and test features;

train, evaluate, or improve ProductPair systems and models;

understand product-discovery behaviour;

prevent fraud and abuse;

conduct internal research;

create Aggregated Insights; and

support ProductPair’s business operations.

ProductPair will not interpret this section as granting an unrestricted right to sell identifiable shopper profiles or merchant customer lists.

11. Aggregated and De-identified Insights

ProductPair may combine information from multiple interactions, merchants, personas, products, social signals, or transactions to create statistical, aggregated, or de-identified information that does not reasonably identify a specific individual or disclose a merchant’s confidential business information.

“Aggregated Insights” may include information such as:

broad buyer-segment patterns;

persona popularity;

product-affinity trends;

cross-category shopping behaviour;

recommendation performance benchmarks;

conversion tendencies;

audience and merchandising trends;

social-signal patterns;

industry benchmarks;

seasonal trends;

market research;

predictive models; and

other statistical or commercial insights.

To the extent permitted by applicable law, ProductPair may:

create Aggregated Insights;

use them to operate, evaluate, and improve ProductPair;

use them to develop new products, services, models, reports, and features;

publish high-level research or benchmarks;

provide insights to merchants;

license or commercialize reports, datasets, tools, or products based on Aggregated Insights; and

use Aggregated Insights for other lawful business purposes.

ProductPair will apply reasonable measures designed to prevent Aggregated Insights from identifying a specific person.

ProductPair will not intentionally attempt to re-identify information that has been anonymized for commercial insight purposes, except where reasonably necessary for security testing, validation of de-identification methods, legal compliance, or protection against fraud or misuse.

Aggregated or de-identified information will be treated as personal information where required by applicable law or where there remains a reasonable possibility that it could identify an individual.

Nothing in this section permits ProductPair to disregard its Privacy Policy, applicable privacy laws, Shopify requirements, user rights, or legally required consent or opt-out choices.

12. Confidential Merchant Information

ProductPair may receive non-public information about a merchant’s business, products, performance, customers, strategies, or operations.

ProductPair will use reasonable measures to protect merchant confidential information and will not disclose it except:

to provide the Services;

to service providers subject to appropriate obligations;

with the merchant’s authorization;

in aggregated or de-identified form;

where the information becomes public through no fault of ProductPair;

where independently developed without using the merchant’s confidential information; or

where disclosure is legally required.

Aggregated Insights must not reveal an identifiable merchant’s confidential performance information unless the merchant has consented or the information is otherwise lawfully public.

13. Fees and Shopify Billing

ProductPair may charge merchants according to the pricing displayed through the Shopify App Store, Shopify’s pricing interface, the ProductPair website, or another authorized ProductPair pricing surface.

The current ProductPair model may include a performance-based fee calculated as a percentage of eligible ProductPair-attributed revenue.

Unless otherwise stated in the applicable pricing terms:

ProductPair attribution is determined using ProductPair’s attribution systems and rules;

fees may be based on ProductPair-attributed product revenue;

Shopify may calculate and collect the resulting merchant charge;

refunds may result in proportional negative adjustments;

shipping-only, tax-only, or unrelated manual refunds may not reduce attributed product revenue;

adjustments will not normally exceed the revenue previously attributed to ProductPair; and

ProductPair may use direct and assisted attribution classifications in merchant reporting.

The specific rate, billing basis, usage cap, currency treatment, and other commercial terms displayed and accepted through Shopify form part of these Terms.

Merchants are responsible for reviewing the applicable pricing before installing or approving ProductPair.

Shopify’s billing records may control the amount actually charged through Shopify. ProductPair’s dashboard may display estimates, conversions, attribution classifications, and internal commission calculations for informational purposes.

ProductPair may correct errors, duplicate events, failed events, refund adjustments, or other billing discrepancies.

14. Attribution

ProductPair may use session identifiers, recommendation-run identifiers, cart context, product events, order information, and defined attribution windows to determine whether an order or order line is attributable to ProductPair.

The merchant acknowledges that:

attribution systems are not perfect;

browser restrictions, consent settings, deleted storage, device changes, checkout behaviour, platform limitations, and technical failures may affect attribution;

ProductPair may classify attribution as direct, assisted, or another disclosed category;

ProductPair may use reasonable automated rules to prevent duplicate attribution;

orders and refund events may be processed more than once by a third-party platform, with ProductPair applying safeguards intended to prevent duplicate billing; and

dashboard information may be updated or corrected after later order, refund, or reconciliation information becomes available.

Merchants may contact ProductPair regarding a reasonably disputed attribution or fee. ProductPair may request supporting order information and will review disputes in good faith.

15. Refund Adjustments

ProductPair’s intended commercial principle is that performance fees apply to net retained ProductPair-attributed product revenue.

Where supported by the Services:

a full eligible product refund may result in a full attribution reversal;

a partial eligible product refund may result in a proportional reversal;

shipping-only and tax-only refunds generally do not result in a ProductPair reversal;

duplicate refund events will not intentionally create duplicate reversals;

non-attributed purchases will not intentionally create ProductPair refund adjustments; and

total reversals will not intentionally exceed the ProductPair-attributed revenue previously recorded.

The merchant remains responsible for issuing the underlying shopper refund through Shopify or its payment provider.

16. Acceptable Use

You must not use the Services to:

violate any law, regulation, court order, or third-party right;

infringe intellectual-property, privacy, publicity, contractual, or confidentiality rights;

harass, stalk, intimidate, exploit, or harm another person;

profile individuals for employment, housing, lending, insurance, healthcare, education, policing, or other high-impact decisions;

infer or target sensitive characteristics;

create individual dossiers or surveillance databases;

scrape or extract ProductPair data through unauthorized automated means;

reverse engineer, decompile, disassemble, or attempt to discover non-public source code, except where applicable law expressly permits it;

bypass rate limits, authentication, billing, access controls, or technical restrictions;

interfere with the security or operation of the Services;

introduce malware or harmful code;

conduct penetration testing without written authorization;

copy, resell, sublicense, or commercially exploit the Services except as expressly authorized;

impersonate another person or misrepresent an affiliation;

submit fraudulent orders, interactions, social profiles, or attribution events;

manipulate recommendations, attribution, billing, refunds, or performance metrics;

use the Services to develop or train a directly competing product through systematic extraction of ProductPair outputs;

send excessive or automated requests;

access ProductPair using credentials you are not authorized to use; or

encourage another person to do any of the above.

We may investigate suspected misuse and may suspend or terminate access where reasonably necessary.

17. Intellectual Property

ProductPair and its licensors retain all rights, title, and interest in and to the Services, including:

software;

source code;

interfaces;

designs;

trademarks;

branding;

documentation;

algorithms;

matching systems;

attribution systems;

prompts and workflows;

models;

databases;

reports;

generated structures;

improvements; and

related intellectual property.

Except for the limited rights expressly granted by these Terms, no rights are transferred to you.

“ProductPair,” “ProductPair.ai,” ProductPair branding, logos, designs, and related marks may not be used without our written permission.

18. Limited Licence

Subject to compliance with these Terms, ProductPair grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for their intended business or shopping purposes.

This licence ends when:

you stop using the applicable shopper experience;

the merchant uninstalls ProductPair;

your account is terminated;

the Services are discontinued; or

these Terms otherwise end.

19. Feedback

You may provide ideas, suggestions, comments, or feedback about ProductPair.

You grant ProductPair a worldwide, perpetual, irrevocable, royalty-free right to use, modify, incorporate, commercialize, and otherwise exploit that feedback without restriction or compensation.

This does not give ProductPair ownership of Merchant Content or personal information contained incidentally in feedback.

20. Privacy

Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy.

The Privacy Policy forms part of these Terms.

Where these Terms and the Privacy Policy address different subjects, both apply. Where they directly conflict regarding the handling of personal information, the Privacy Policy will govern unless applicable law requires otherwise.

Merchants are responsible for maintaining their own legally adequate privacy policies and obtaining consent where required.

21. Availability and Changes

We aim to keep ProductPair available and reliable, but we do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

ProductPair may:

perform maintenance;

change service providers;

update recommendation systems;

alter data sources;

change or remove features;

impose reasonable usage limits;

suspend features affected by third-party platforms;

modify integrations; or

discontinue some or all of the Services.

Where reasonably practicable, we may provide notice of material changes affecting merchant use.

22. Beta and Experimental Features

Some ProductPair features may be labelled beta, pilot, preview, experimental, early access, or similar.

These features may:

be incomplete;

change without notice;

have limited support;

produce unreliable results;

be discontinued; or

be subject to additional terms.

You use experimental features at your own risk.

23. Suspension and Termination

You may stop using ProductPair at any time. Merchants may uninstall the app through Shopify, subject to any outstanding Shopify charges or obligations.

We may suspend, limit, or terminate access where:

you breach these Terms;

your use creates a security, legal, privacy, platform, or operational risk;

required by Shopify or another applicable platform;

fees remain unpaid;

we reasonably suspect fraud or abuse;

your use may harm another person;

continuing to provide the Services would violate law; or

the Services are discontinued.

Where reasonable, we may provide notice and an opportunity to correct a breach.

Termination does not affect:

rights or obligations accrued before termination;

outstanding fees and refund adjustments;

record-retention obligations;

rights relating to Aggregated Insights;

provisions intended by their nature to survive; or

lawful processing described in our Privacy Policy.

24. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided “as is” and “as available.”

ProductPair disclaims all warranties and conditions, whether express, implied, statutory, or collateral, including implied warranties or conditions of:

merchantability;

fitness for a particular purpose;

title;

non-infringement;

accuracy;

availability;

security; and

satisfactory quality.

We do not warrant that:

recommendations will be accurate;

products will suit a particular person;

a recommendation will produce a purchase;

ProductPair will increase conversion or revenue;

attribution will capture every eligible purchase;

every social profile will be accessible;

the Services will be uninterrupted or error-free;

data will never be lost; or

defects will always be corrected.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent legally permitted.

25. Limitation of Liability

To the fullest extent permitted by applicable law, ProductPair and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of:

profit;

revenue;

goodwill;

business opportunity;

anticipated savings;

customers;

data; or

reputation.

ProductPair will not be liable for damages arising from:

merchant products or services;

shopper purchases;

inaccurate recommendations;

third-party platforms;

unauthorised account access caused by you;

interrupted or unavailable Services;

lost or misattributed transactions;

merchant privacy or legal violations;

reliance on AI-generated output; or

content submitted by merchants or users.

To the fullest extent permitted by applicable law, ProductPair’s total aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of:

the total fees paid or payable by the applicable merchant to ProductPair during the six months immediately preceding the event giving rise to the claim; or

one hundred Canadian dollars.

The limitations in this section do not apply to liability that cannot legally be excluded or limited.

26. Indemnification

To the fullest extent permitted by applicable law, a merchant agrees to defend, indemnify, and hold harmless ProductPair and its directors, officers, employees, contractors, affiliates, and service providers from claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable legal fees arising from or relating to:

the merchant’s store, products, or services;

Merchant Content;

the merchant’s privacy notices or consent practices;

the merchant’s violation of law;

the merchant’s breach of these Terms;

the merchant’s infringement of a third-party right;

claims between the merchant and its shoppers; or

misuse of ProductPair by the merchant or its personnel.

ProductPair will provide reasonable notice of an indemnified claim and may participate in its defence.

This section does not require indemnification for losses caused solely by ProductPair’s intentional misconduct where such exclusion is prohibited by law.

27. Consumer Rights

Nothing in these Terms excludes, restricts, or modifies a right or remedy that cannot legally be excluded, restricted, or modified.

Where a shopper is protected by mandatory consumer-protection law, those protections continue to apply.

The merchant remains responsible for consumer agreements concerning the merchant’s products and services.

28. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

Subject to any mandatory consumer rights or jurisdictional requirements, the courts located in Toronto, Ontario will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.

Before starting formal proceedings, the parties agree to attempt in good faith to resolve a dispute by contacting the other party and describing the issue.

29. Electronic Communications

You agree that communications, agreements, notices, disclosures, and records may be provided electronically, including through:

the ProductPair merchant application;

Shopify;

email;

the ProductPair website; or

another electronic method associated with your account.

You are responsible for keeping your merchant contact information current.

30. Changes to These Terms

We may update these Terms to reflect changes to:

the Services;

pricing;

legal requirements;

third-party platforms;

data practices;

security needs; or

our business.

The Effective Date identifies the most recent revision.

Where required by law or where a change materially affects merchant rights or obligations, we may provide additional notice through the Services, Shopify, email, or another reasonable method.

Continued use of the Services after updated Terms take effect constitutes acceptance of the updated Terms, except where applicable law requires express consent.

31. Assignment

You may not assign or transfer these Terms without ProductPair’s prior written consent.

ProductPair may assign these Terms in connection with:

a corporate reorganization;

financing;

merger;

acquisition;

sale of assets; or

transfer of the ProductPair business.

32. General Terms

These Terms, the Privacy Policy, applicable Shopify pricing approvals, and any additional written terms expressly agreed between ProductPair and a merchant form the entire agreement concerning the Services.

If a provision is held unenforceable, it will be modified to the minimum extent necessary or removed, and the remaining provisions will continue in effect.

Failure to enforce a provision is not a waiver.

Headings are included for convenience and do not affect interpretation.

Words such as “including” mean “including without limitation.”

No person other than the parties has a right to enforce these Terms unless applicable law expressly provides otherwise.
